Terms of Service (Master Subscription Agreement)

This Master Subscription Agreement ("Agreement") governs your acquisition and use of the CoupaPro services. By accepting this Agreement, either by clicking a box indicating your acceptance or by executing an order form that references this Agreement, you agree to the terms herein.

1. Provision of Services

Coupa will make the CoupaPro services available to you pursuant to this Agreement and the applicable Order Forms. We will use commercially reasonable efforts to make the online services available 24 hours a day, 7 days a week, with a targeted uptime of 99.99%, except for planned downtime (which we shall schedule to the extent practicable during weekend hours).

2. Use of Services & Responsibilities

A. Your Responsibilities

You are responsible for all activities that occur under your user accounts. You agree to:

  1. Maintain the confidentiality of your passwords and cryptographic key shards (if utilizing self-custody options).
  2. Use the services only in accordance with applicable global financial laws, including anti-money laundering (AML) and sanctions regulations.
  3. Prevent unauthorized access to the services and notify Coupa promptly of any such unauthorized access.

B. Blockchain Network Volatility

You acknowledge that digital assets and blockchain networks are highly volatile and subject to varying degrees of regulatory uncertainty. Coupa is not liable for losses resulting from underlying blockchain network failures, massive protocol forks, or extreme market volatility, except where such losses are a direct result of Coupa's gross negligence in executing the software protocol.

You will pay all fees specified in the Order Forms. Except as otherwise specified herein or in an Order Form:

4. Proprietary Rights and Licenses

Coupa grants you a worldwide, limited-term, non-exclusive license to access and use the CoupaPro software. Coupa retains all rights, title, and interest in and to the services, including all related intellectual property rights. You grant Coupa a worldwide, perpetual license to use and incorporate into our services any suggestion, enhancement request, or feedback provided by you.

5. Confidentiality

Each party agrees to protect the other's Confidential Information from unauthorized disclosure, utilizing the same degree of care it uses to protect its own Confidential Information. Confidential Information includes, but is not limited to, pricing, technical architecture, and specific corporate transaction data.

6. Limitation of Liability

IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU HEREUNDER FOR THE SERVICES GIVING RISE TO THE LIABILITY IN THE TWELVE MONTHS PRECEDING THE FIRST INCIDENT. THE FOREGOING LIMITATION WILL NOT LIMIT YOUR PAYMENT OBLIGATIONS UNDER THE "FEES AND PAYMENT" SECTION.

7. Governing Law

This Agreement shall be governed exclusively by the internal laws of the State of Delaware, without regard to its conflicts of laws rules.
